Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and Trulli Holdings, LLC (doing business as “Trulli AI” and operating Trulli.ai) (“Trulli,” “Company,” “we,” “our,” or “us”). By accessing or using our websites, software, subscription products, and related services (collectively, the “Services”), you agree to these Terms.

IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. Nature of Services

Trulli provides AI-powered data and funding infrastructure SaaS tools that analyze business and financial information and deliver insights to help users understand potential financing options.

  • SaaS Provider Only: Trulli is not a lender, broker, investment adviser, or financial institution. We provide the software; we do not provide the capital.

  • Informational Purpose: All content, reports, blueprints, and recommendations are for informational and educational purposes only and should not be interpreted as a solicitation or application for any financial product.

2. Referral & Recommendation Disclosure

2.1 Referral Relationships. From time to time Trulli may maintain relationships with independent lenders, service providers, or affiliates (“Partners”). If you choose to contact or engage with a Partner through our platform or materials, Trulli may receive a referral or marketing fee, commission, or percentage of proceeds for facilitating that introduction.

2.2 No Advisory Duty. Any referral, mention, or recommendation is solely informational. Trulli does not:

  • Endorse or guarantee any lender, product, rate, or outcome;

  • Collect loan or credit applications on behalf of lenders;

  • Negotiate, advise, or influence lending terms; or

  • Provide investment, legal, or tax advice.

2.3 User Responsibility. You are solely responsible for evaluating and deciding whether to pursue any funding, financial, or contractual relationship with a third party. All transactions between you and any third-party lender or Partner are entirely independent of Trulli.

2.4 No Fiduciary Relationship. Trulli’s role is limited to providing access to information and analytical tools. No fiduciary or agency relationship is created by your use of the Services.

3. Payments, Refunds, and Chargeback Protection

3.1 Fees and Recurring Billing Authorization. Service fees are clearly presented at the time of purchase. By purchasing a Subscription (including but not limited to the $249, $499, or $1,249 tiers), you explicitly acknowledge and authorize Trulli to charge your payment method automatically on a recurring basis (monthly or annually) until you formally cancel. You acknowledge that the amount billed may vary due to promotional offers, upgrades you authorize, or changes in applicable taxes.

  • Statement Descriptor: You acknowledge that charges will appear on your credit card or bank statement as “TRULLI AI”, “TRULLI.AI”, or a similar descriptor containing the name “Trulli.” You agree that recognizing these descriptors is your responsibility.

3.2 Digital Delivery & "Immediate Access." You acknowledge that Trulli is a digital, cloud-based SaaS product.

  • Definition of Delivery: "Delivery" of the Service is deemed complete the moment you are granted access to the platform or sent login credentials.

  • Consumption: Because the software provides immediate intellectual property (funding reports, blueprints, lender data), you agree that logging in, generating a report, or viewing data constitutes full consumption of the Service for that billing period.

  • Outcome Disclaimer: You agree that you are paying for access to the software and tools, not for a guaranteed financial outcome (e.g., securing a loan). Failure to secure funding is not a valid basis for a refund or dispute.

3.3 Strict No-Refund Policy (All Sales Final). Due to the digital nature of the Services, ALL SALES ARE FINAL.

  • Digital Deliverables: All downloadable or cloud-based products (including funding reports, analyses, blueprints, and data dashboards) are non-refundable once delivered or accessed.

  • Subscriptions: Monthly and annual SaaS subscriptions renew automatically. We do not provide credits or refunds for partial months, unused access, or if you fail to log in during your billing cycle.

  • Consulting & Setup Fees: Work performed, systems built, or integrations initiated are non-refundable once commenced.

  • Partner or White-Label Programs: All onboarding, activation, and management payments are final.

3.4 Cancellations. You may cancel future subscription renewals at any time via your account portal. To avoid being charged for the next cycle, you must cancel at least 24 hours prior to your renewal date. Cancellation prevents future billing but does not retroactively refund previous payments.

3.5 Chargeback & Dispute Policy. You agree to contact Trulli Support (hello@trulli.ai) to resolve any billing issues before initiating a dispute with your bank.

  • Waiver of Rights: You agree that initiating a chargeback for validly billed fees, or claiming "Product Not Received" when access logs show you successfully logged into the platform, constitutes a breach of these Terms.

  • Evidence Submission: In the event of a dispute, you explicitly authorize Trulli to submit this Agreement, along with your access logs, IP address history, download records, and activity timestamps to your bank or credit card issuer as conclusive evidence that the Service was delivered and consumed.

4. Intellectual Property

All intellectual-property rights in the Services, reports, templates, AI models, and databases belong to Trulli. You receive a limited, non-exclusive, non-transferable license for internal business use. Reverse-engineering, resale, or redistribution are prohibited.

5. Disclaimers and Limitations

5.1 Benefits and Savings Disclaimer. Benefits and savings amounts presented in our marketing or tools are estimates based on typical usage and may vary significantly depending on individual business needs, qualification criteria, usage patterns, and partner program terms.

  • Estimates Only: Actual benefits received may be higher or lower than estimates shown.

  • No Guarantee of Results: Savings calculations are based on standard pricing for comparable services and are not guaranteed. Individual results may vary and Trulli makes no representations or warranties regarding the availability or amount of benefits that may be received by any particular user.

5.2 "AS IS" and "AS AVAILABLE." The Services are provided “AS IS” and “AS AVAILABLE.” Trulli disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

5.3 No Guarantee of Funding. Trulli does not guarantee:

  • Approval for funding, loans, or credit;

  • Any particular financial outcome; or

  • Continuous, error-free platform operation.

6. Limitation of Liability

To the fullest extent permitted by law:

  • Trulli shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or funding opportunities.

  • Trulli’s aggregate liability shall not exceed the greater of (i) the total fees you paid in the six (6) months preceding the claim or (ii) $50 USD.

7. Indemnification

You agree to indemnify and hold harmless Trulli, its officers, employees, and affiliates from any claim, loss, or expense (including legal fees) arising from:

  • Your use of the Services or reliance on recommendations;

  • Your dealings with third-party lenders or Partners;

  • Your breach of these Terms or applicable law.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, excluding conflict-of-law rules. Any dispute shall be resolved through binding arbitration in Denver, Colorado, on an individual basis. Class actions and class arbitrations are explicitly prohibited.
